La vente d\u2019un local objet d\u2019un bail d\u00e9rogatoire, d\u2019une convention d\u2019occupation pr\u00e9caire ou d\u2019un bail professionnel est donc exclue du champ d\u2019application.<br \/>Il semble par ailleurs que, pour la doctrine, si le bail a pris fin par cong\u00e9 du preneur ou par refus de renouvellement par le bailleur, le preneur ne peut se pr\u00e9valoir du droit de pr\u00e9f\u00e9rence.<\/li><li><strong>Vente de locaux \u00e0 usage commercial ou artisanal<\/strong> : les dispositions de l\u2019article L145-46-1 du Code de commerce s\u2019appliquent au propri\u00e9taire d\u2019un local commercial ou artisanal.<ul><li>Quid des locaux \u00e0 usage industriel ?<br \/>Il n\u2019y a pas de droit de pr\u00e9f\u00e9rence pour le preneur d\u2019un local \u00e0 usage industriel. En l\u2019absence de d\u00e9finition l\u00e9gale d\u2019un local \u00e0 usage industriel, la Cour de cassation pr\u00e9cise qu\u2019il s\u2019agit de <strong>\u00ab<\/strong> tout local principalement affect\u00e9 \u00e0 l\u2019exercice d\u2019une activit\u00e9 qui concourt directement \u00e0 la fabrication ou \u00e0 la transformation de biens corporels mobiliers, et pour lequel le r\u00f4le des installations techniques, mat\u00e9riels et outillage mis en \u0153uvre est pr\u00e9pond\u00e9rant \u00bb.<\/li><li>Quid des locaux \u00e0 usage de bureaux ?<br \/>Le droit de pr\u00e9f\u00e9rence s\u2019applique pour les locaux \u00e0 usage de bureaux d\u00e8s lors qu\u2019ils sont affect\u00e9s \u00e0 un usage commercial. La jurisprudence consid\u00e8re que les bureaux abritant une activit\u00e9 commerciale sont consid\u00e9r\u00e9s comme des locaux \u00e0 usage commercial.<br \/>Il est admis que les bureaux \u00e0 usage professionnel doivent \u00eatre exclus du droit de pr\u00e9emption.<\/li><\/ul><\/li><li><strong>Exceptions l\u00e9gales<\/strong> : l\u2019article L145-46-1 du Code de commerce pr\u00e9voit plusieurs exceptions :<ul><li>Cession unique de plusieurs locaux d\u2019un ensemble commercial.<\/li><li>Cession unique de locaux commerciaux distincts (cession de portefeuille).<\/li><li>Cession d\u2019un local commercial au copropri\u00e9taire d\u2019un ensemble commercial.<\/li><li>Cession globale d\u2019un immeuble comprenant des locaux commerciaux (ou un seul local commercial selon la Cour de cassation).<\/li><li>Cession d\u2019un local au conjoint du bailleur, ou \u00e0 un ascendant ou un descendant du bailleur ou de son conjoint.<\/li><\/ul><\/li><\/ul><p>En pratique, le droit de pr\u00e9emption du locataire suscite encore de nombreuses difficult\u00e9s d\u2019interpr\u00e9tation quant \u00e0 son champ d\u2019application.
